LEGAL DUE DILIGENCE

To carry out thorough assessments of legal due diligence for:-

  • A firm that intends to be listed on Bursa Malaysia Securities Berhad’s Main Market, ACE Market, LEAP Market, or any other foreign stock exchanges such as the London Stock Exchange’s AIM, Australian Securities Exchange, Singapore Stock Exchange, Hong Kong Stock Exchanges and Clearing Limited, China Stock Exchange, will need to create a legal due diligence report and legal opinion for the company and its main advisor/sponsor;
  • Any business activities carried out by a company or corporation (whether publicly traded or not);
  • Mergers and acquisitions of companies;
  • Plans of organization and restructuring initiatives (in accordance with Section 176 of the Companies Act, 1965);
  • Business activities that require applications and submissions to be made to both the Securities Commission of Malaysia (“Securities Commission”) and Bursa Securities; and
  • Capital-raising initiatives that involve the issuance of various documents by publicly listed companies, such as prospectuses, summary prospectuses, circulars, independent advice letters, explanatory statements, information memorandums, and other related materials.
COPRORATE ADVISORY & DRAFTING OF DOCUMENTS
  • Advising on the legal framework in Malaysia that pertains to a specific company, as well as the securities laws that are relevant to both public and private corporations, which includes complying with acts and regulations, such as guidelines that have been issued by the Securities Commission and Bursa Securities.
  • Providing counsel on issues related to the restructuring plan under Section 176 of the Companies Act, 1965, which includes creating the transactional documents.
  • Providing legal advice regarding the procurement and divestment of businesses and securities, which involves drafting transactional documents.
  • Advising, creating, and bargaining different contracts with domestic and foreign counterparts.
  • Providing guidance on issues related to the distribution of securities, including but not limited to common and preferred stocks, private debt securities, warrants, share options, and loan stocks.
  • Providing counsel to small and medium-sized enterprises (SMEs) on issues related to company incorporation, business matters, and corporate governance.
  • Providing guidance pertaining to the buying and selling of property, which involves overseeing the negotiation of deals and the preparation of necessary paperwork.
  • Providing advice on issues related to the acquisition of properties in Malaysia by the Economic Planning Unit, which may involve offering support in the preparation of submission documents.
  • Advising on matters relating to application to Bank Negara Malaysia involving residents and non-residents.
  • Providing guidance on issues related to applications to Bank Negara Malaysia, including those involving both residents and non-residents.

  • Provided counsel to a range of firms that are publicly traded on Bursa Securities regarding topics such as rights issue activities, warrant issue activities, bonus issue activities, private placement activities, private debt securities activities, employee share issuance programs, share buybacks, and recurrent shareholder mandates for related-party transactions.
  • Provided guidance and submitted multiple applications to Bank Negara Malaysia in regards to issues related to the compliance of fund transfers.
  • Provided counsel on a variety of mergers and acquisitions that involved foreign corporations, publicly traded entities, and privately held businesses that are incorporated in Malaysia.
  • Provided counsel and created different kinds of contracts, such as underwriting agreements, service agreements, deed polls, trust deeds, security documents, subscription agreements, share sale agreements, joint venture agreements, shareholder agreements, put and call option agreements, settlement agreements, debt restructuring agreements, and other types of corporate and commercial agreements.
